## 1. Parties and service

These terms would govern access to OneCloud 360 and related hosted services between the provider identified above and the subscribing organisation. The final agreement must identify the contracting entity, service scope, included plans, support channel, service levels, and any incorporated operator agreement.

## 2. Accounts and access

Customers would be responsible for accurate account information, protecting sign-in credentials, assigning appropriate roles, promptly removing access that is no longer needed, and notifying the provider of suspected misuse. The final terms must describe account eligibility, invitations, verification, administrator responsibilities, and account recovery.

## 3. Customer information and lawful use

Customers would retain their rights in information they submit and would be responsible for having authority to submit it and for its accuracy, lawful use, and retention instructions. The provider would process personal information only as described in the reviewed Privacy Notice and Operator Agreement. The final agreement must allocate responsibilities for financial, employee, tax, and statutory records.

## 4. Fees, tax, and payment

`[OWNER AND ACCOUNTANT TO CONFIRM pricing, billing intervals, subscription invoice VAT treatment, payment timing, failed-payment handling, refunds, cancellation, and any consumer-law terms.]` No fee, tax treatment, payment method, or refund promise is established by this draft.

## 5. Service limits and customer review

OneCloud provides business record and preparation workflows. Customers remain responsible for reviewing outputs, source records, permissions, exports, and backups before relying on them. Payroll and VAT features, when enabled, are preparation workpapers only; they are not SARS-approved or certified and do not submit filings. Statutory scope and exclusions are described in the product documentation.

## 6. Availability, support, and changes

`[OWNER TO COMPLETE availability commitments, maintenance notice, support hours, response targets, product changes, and service suspension terms.]` Do not promise a service level until it has been approved and can be measured.

## 7. Suspension, termination, and data export

The final terms must specify termination rights, effects of non-payment, access suspension, export availability, deletion timing, backup expiry, and any legal hold process. No data deletion schedule is set by this draft; see the draft Data Retention Schedule.

## 8. Warranties, liability, and disputes

`[QUALIFIED LAWYER TO DRAFT jurisdiction-appropriate warranties, exclusions, liability limits, indemnities, dispute process, governing law, and consumer protections.]` No limitation or waiver is intended to apply until it has been reviewed and accepted by the provider.

## 9. Contact and version history

Questions and legal notices: `[OWNER TO COMPLETE]`. Keep a dated copy of each approved version and the accepted version recorded for each account.
